Terms of Service
The terms that govern access to and use of BlueSky ATG websites, content, software, and related services.
These Terms of Service ("Terms") are a legal agreement between you and BlueSky ATG ("BlueSky," "we," "us," or "our"). By accessing or using our website, products, or services, you agree to these Terms.
1. Eligibility and Authority
You represent that you are authorized to enter into these Terms on behalf of yourself or the entity you represent, and that your use complies with applicable laws and regulations.
2. Services and Acceptable Use
You may use our services only for lawful business purposes. You agree not to misuse the services, interfere with operations, attempt unauthorized access, reverse engineer protected systems (except where legally permitted), introduce malicious code, or use the services to violate rights of others.
3. Accounts and Security
If credentials are provided, you are responsible for safeguarding account access and for all activity under your account. You must promptly notify us of any suspected unauthorized use.
4. Intellectual Property
BlueSky and its licensors retain all rights, title, and interest in our platform, software, documentation, branding, and related intellectual property. Except for limited rights expressly granted, no license is transferred by implication.
5. Customer Data and Submissions
You retain rights to data and materials you provide. You grant BlueSky the limited rights necessary to process and use that data to provide services, support, security, analytics, and product improvement consistent with our Privacy Policy and contractual commitments.
6. Third-Party Services
Our services may integrate with or link to third-party products. We are not responsible for third-party offerings and their use is subject to those providers' terms and policies.
7. Fees and Payment
Paid services, if applicable, are governed by applicable order forms, subscriptions, or checkout terms. Fees are non-refundable except as required by law or expressly stated in a written agreement.
8. Disclaimers
To the maximum extent permitted by law, services are provided "as is" and "as available." BlueSky disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, BlueSky will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Total liability is limited as set forth in applicable agreements or, if none apply, to amounts paid to BlueSky in the 12 months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless BlueSky from claims, liabilities, damages, and expenses arising from your use of the services in violation of these Terms or applicable law.
11. Suspension and Termination
We may suspend or terminate access where necessary to protect the platform, customers, or legal compliance, including for material breaches of these Terms.
12. Governing Law
These Terms are governed by applicable law as defined in your executed agreement with BlueSky, or absent such agreement, by the laws of the jurisdiction in which BlueSky is organized, without regard to conflict-of-law principles.
13. Changes to Terms
We may update these Terms from time to time. Continued use after updates become effective constitutes acceptance of the revised Terms.
